Service Agreement \u670d\u52a1\u534f\u8bae<\/p>

WHERE AS FIND-U GROUP LTD, a professional matchmaking agency in Los Angeles (“Company”), is in the business of providing services to individuals to facilitate the Client meeting other people for the purpose of entering into a serious long-term romantic relationship; \u9274\u4e8e\uff0cFIND-U GROUP LTD\u00a0\u662f\u4e00\u5bb6\u4f4d\u4e8e\u6d1b\u6749\u77f6\u7684\u4e13\u4e1a\u5a5a\u604b\u670d\u52a1\u673a\u6784(\u4ee5\u4e0b\u7b80\u79f0\u201c\u516c\u53f8\u201d)\uff0c\u4e1a\u52a1\u8303\u56f4\u662f\u4e3a\u4e2a\u4eba\u63d0\u4f9b\u670d\u52a1\uff0c \u5e2e\u52a9\u5ba2\u6237\u4e0e\u4ed6\u4eba\u89c1\u9762\uff0c\u4ee5\u4fbf\u5efa\u7acb\u957f\u671f\u8ba4\u771f\u7684\u604b\u7231\u5173\u7cfb;<\/p>

WHEREAS, Client desires to engage and receive services offered by the Company; \u9274\u4e8e\uff0c\u5ba2\u6237\u5e0c\u671b\u63a5\u53d7\u516c\u53f8\u63d0\u4f9b\u7684\u670d\u52a1;<\/p>

THEREFORE, Company desires to provide services to Client all pursuant to the rates, limitations, terms, and conditions of the Agreement. \u56e0\u6b64\uff0c\u516c\u53f8\u5e0c\u671b\u6839\u636e\u672c\u534f\u8bae\u7684\u8d39\u7387\u3001\u9650\u5236\u3001\u6761\u6b3e\u548c\u6761\u4ef6\u5411\u5ba2\u6237\u63d0\u4f9b\u670d\u52a1\u3002<\/p>

NOW, THEREFORE, the parties agree as follows:<\/p>

\u73b0\u56e0\u6b64\uff0c\u53cc\u65b9\u5728\u6b64\u786e\u8ba4\u5982\u4e0b\u534f\u8bae:<\/p>

Section 1. Definitions\/\u5b9a\u4e49<\/p>

1.1 \u201cFee\u201d means monies paid by Client to Company in anticipation of Services being provided for the Term to Client by Company and is specified in Section 3 in the Agreement. \u201c\u8d39\u7528\u201d\u662f\u6307\u5ba2\u6237\u652f\u4ed8\u7ed9\u516c\u53f8\u7684\u6b3e\u9879\uff0c\u4ee5\u4fbf\u516c\u53f8\u5728\u534f\u8bae\u671f\u5185\u5411\u5ba2\u6237\u63d0\u4f9b\u670d\u52a1\uff0c\u5e76\u5728\u672c\u534f\u8bae\u7b2c 3 \u6761\u4e2d\u5217\u660e\u3002<\/p>

1.2 \u201cServices\u201d means professional matchmaking services thought both online and offline channels which are differentiated by service packages selected by Client. \u201c\u670d\u52a1\u201d\u662f\u6307\u901a\u8fc7\u7ebf\u4e0a\u548c\u7ebf\u4e0b\u6e20\u9053\u63d0\u4f9b\u7684\u4e13\u4e1a\u5a5a\u604b\u670d\u52a1\uff0c\u5177\u4f53\u7531\u5ba2\u6237\u9009\u62e9\u7684\u670d\u52a1\u5957\u9910\u51b3\u5b9a\u3002 1.3 \u201cTerm\u201d means the period specified in the service package selected by the Client. \u201c\u671f\u9650\u201d\u662f\u6307\u5ba2\u6237\u9009\u62e9\u7684\u670d\u52a1\u5305\u4e2d\u6307\u5b9a\u7684\u671f\u9650\u3002<\/p>

Section 2. Scope of Services\/\u670d\u52a1\u8303\u56f4<\/p>

2.1 This Service Agreement (“Agreement”) is made between FIND-U GROUP LTD, a professional matchmaking agency in Los Angeles (“Company”), and (“Client”). The Company offers matchmaking services through both online and offline channels.<\/p>

2.1 \u672c\u670d\u52a1\u534f\u8bae(\u201c\u534f\u8bae\u201d)\u7531\u4f4d\u4e8e\u6d1b\u6749\u77f6\u7684\u4e13\u4e1a\u5a5a\u4ecb\u516c\u53f8 FIND-U GROUP LTD(\u201c\u516c\u53f8\u201d)\u4e0e(\u201c\u5ba2\u6237\u201d)\u7b7e\u8ba2\u3002\u516c\u53f8\u901a\u8fc7\u7ebf\u4e0a\u548c\u7ebf\u4e0b\u6e20\u9053\u63d0\u4f9b\u5a5a\u4ecb\u670d\u52a1\u3002<\/p>

Section 3. \u00a0Fees \u8d39\u7528<\/p>

3.1 The Fees are due on Effective Date. Company will not be obligated to perform Services until Fees are received and processed.<\/p>

3.1 \u8d39\u7528\u5728\u751f\u6548\u65e5\u671f\u652f\u4ed8\u3002\u516c\u53f8\u5728\u6536\u5230\u5e76\u5904\u7406\u8d39\u7528\u4e4b\u524d\u6ca1\u6709\u4e49\u52a1\u63d0\u4f9b\u670d\u52a1\u3002<\/p>

3.2 The Fee paid by the Client shall only be applicable to pay for the Services, and under no circumstance will the Fee cover any expenses that the Client may encounter during the course of Services. This includes any costs for services with any third-party vendors, costs of any activities participated in by Client on dates, including but not limited to admission costs, costs for food\/beverages, costs for personal hygiene, clothes, and any other associated cost for any dates.<\/p>

3.2 \u5ba2\u6237\u652f\u4ed8\u7684\u8d39\u7528\u4ec5\u9002\u7528\u4e8e\u652f\u4ed8\u670d\u52a1\u8d39\u7528\uff0c\u5728\u4efb\u4f55\u60c5\u51b5\u4e0b\uff0c\u8fd9\u4e9b\u8d39\u7528\u90fd\u4e0d\u4f1a\u6db5\u76d6\u5ba2\u6237\u5728\u670d\u52a1\u8fc7\u7a0b\u4e2d\u53ef\u80fd\u9047 \u5230\u7684\u4efb\u4f55\u8d39\u7528\u3002\u8fd9\u5305\u62ec\u4e0e\u4efb\u4f55\u7b2c\u4e09\u65b9\u4f9b\u5e94\u5546\u7684\u670d\u52a1\u8d39\u7528\uff0c\u5ba2\u6237\u5728\u7ea6\u4f1a\u4e2d\u53c2\u4e0e\u7684\u4efb\u4f55\u6d3b\u52a8\u7684\u8d39\u7528\uff0c\u5305\u62ec\u4f46\u4e0d \u9650\u4e8e\u5165\u573a\u8d39\u7528\u3001\u98df\u54c1\/\u996e\u6599\u8d39\u7528\u3001\u4e2a\u4eba\u536b\u751f\u8d39\u7528\u3001\u8863\u670d\u8d39\u7528\u4ee5\u53ca\u4efb\u4f55\u5176\u4ed6\u76f8\u5173\u7684\u7ea6\u4f1a\u8d39\u7528\u3002<\/p>

\u2022 Payment:<\/p>

1. Balance has to pay in full to start the service.\u00a0<\/p>

\u2022 \u4ed8\u6b3e\u65b9\u5f0f:<\/p>

1\u3001\u670d\u52a1\u5f00\u59cb\u4e4b\u524d\u4e00\u6b21\u6027\u4ed8\u6b3e\u3002<\/p>

Section 4. Termination and Refund\/\u7ec8\u6b62\u548c\u9000\u6b3e<\/p>

Conditions for the start and termination of the service<\/p>

\u2022 Start of the service<\/p>

The service starts when the contract is signed and the payment is made. \u2022 \u670d\u52a1\u5f00\u59cb \u7b7e\u7ea6\u4ed8\u8d39\u540e\uff0c\u670d\u52a1\u5f00\u59cb\u3002<\/p>

\u2022 Termination of the service o Theterminationiswhenthecustomerproposestoterminatethematchingwithintheexpiration of the service period, or the expiration date is the termination time. If termination time arrives, but the number of people promised by the company is not reached, termination time will be automatically renewed. If the members are not satisfied with the recommendation, the company can extend the service for up to half of the service period. o However, if there is no feedback from the two parties after the recommendation, the system defaults to a suitable match after two months and will no longer recommend anyone. If the service expires, the member automatically becomes a certified member and can enjoy the right to be selected permanently. If the member still wants to continue using the package, he can enjoy a 50% discount on the purchase.<\/p>

\u2022 \u670d\u52a1\u7ec8\u6b62 o \u670d\u52a1\u7ec8\u6b62\u662f\u5728\u5ba2\u4eba\u5728\u670d\u52a1\u671f\u5230\u671f\u4e4b\u5185\uff0c\u63d0\u51fa\u7ec8\u6b62\u7ee7\u7eed\u5339\u914d\u4e3a\u6b62;\u6216\u8005\u4ee5\u5230\u671f\u65e5\u4e3a\u5408\u540c \u7ec8\u6b62\u65f6\u95f4\u3002\u5982\u679c\u5230\u671f\uff0c\u4f46\u662f\u516c\u53f8\u627f\u8bfa\u7684\u4eba\u6570\u6ca1\u6709\u8fbe\u5230\uff0c\u5219\u81ea\u52a8\u7eed\u671f\u3002\u5982\u679c\u4f1a\u5458\u5bf9\u6211\u4eec \u63a8\u8350\u7684\u6210\u5458\u90fd\u4e0d\u6ee1\u610f\uff0c\u516c\u53f8\u6700\u957f\u53ef\u5ef6\u671f\u670d\u52a1\u671f\u7684\u4e00\u534a\u7684\u670d\u52a1\u65f6\u95f4\u3002 o \u7136\u800c\uff0c\u5982\u679c\u63a8\u8350\u4e4b\u540e\uff0c\u4e24\u65b9\u4ea4\u5f80\u8d85\u8fc7\u4e24\u4e2a\u6708\u6ca1\u6709\u53cd\u9988\uff0c\u7cfb\u7edf\u9ed8\u8ba4\u4e3a\u5339\u914d\u5408\u9002\uff0c\u5c06\u4e0d\u518d \u7ee7\u7eed\u63a8\u8350\u3002\u5982\u679c\u670d\u52a1\u5230\u671f\u4e86\uff0c\u4f1a\u5458\u81ea\u52a8\u53d8\u4e3a\u88ab\u8ba4\u8bc1\u4f1a\u5458\uff0c\u53ef\u4eab\u53d7\u6c38\u4e45\u88ab\u9009\u62e9\u7684\u6743\u5229\u3002 \u5982\u679c\u4f1a\u5458\u8fd8\u60f3\u7ee7\u7eed\u4f7f\u7528\u8be5\u5957\u9910\uff0c\u53ef\u4eab\u53d7\u8d2d\u4e70 50%\u4f18\u60e0\u3002<\/p>

Refund Terms: No refunds will be given once the contract is signed. \u9000\u6b3e\u6761\u4ef6:\u4e00\u65e6\u7b7e\u7ea6\uff0c\u4e0d\u4e88\u9000\u8d39\u3002<\/p>

Section 5. Representations and Warranties\/\u9648\u8ff0\u4e0e\u4fdd\u8bc1<\/p>

5.1 Company Representations and Warranties. Company represents and warrants that:<\/p>

5.1 \u516c\u53f8\u9648\u8ff0\u4e0e\u4fdd\u8bc1\u3002\u516c\u53f8\u9648\u8ff0\u4e0e\u4fdd\u8bc1:<\/p>

a. There are no known legal barriers to Company\u2019s ability to provide Services to Client upon Effective Date; \u5728\u751f\u6548\u65e5\u671f\uff0c\u516c\u53f8\u6ca1\u6709\u5df2\u77e5\u7684\u6cd5\u5f8b\u969c\u788d\u963b\u6b62\u5176\u5411\u5ba2\u6237\u63d0\u4f9b\u670d\u52a1;<\/p>

b. All Services will be performed in a good and workmanlike manner; \u6240\u6709\u670d\u52a1\u90fd\u5c06\u4ee5\u826f\u597d\u548c\u4e13\u4e1a\u7684\u65b9\u5f0f\u8fdb\u884c;<\/p>

c. It has the authority to enter into this Agreement; and \u516c\u53f8\u6709\u6743\u7b7e\u8ba2\u672c\u534f\u8bae;\u4ee5\u53ca<\/p>

d. It will comply with all applicable laws in the performance of the Services. \u516c\u53f8\u5c06\u5728\u63d0\u4f9b\u670d\u52a1\u65f6\u9075\u5b88\u6240\u6709\u9002\u7528\u7684\u6cd5\u5f8b\u3002<\/p>

5.2 Client Representations and Warranties. Client represents and warrants that Client: 5.2 \u5ba2\u6237\u9648\u8ff0\u4e0e\u4fdd\u8bc1\u3002\u5ba2\u6237\u9648\u8ff0\u5e76\u4fdd\u8bc1\u5ba2\u6237:<\/p>

a. Has the authority and capacity to enter into this Agreement; \u6709\u6743\u529b\u548c\u80fd\u529b\u7b7e\u8ba2\u672c\u534f\u8bae;<\/p>

b. Is at least eighteen (18) years of age; \u81f3\u5c11\u5341\u516b(18)\u5c81;<\/p>

c. Has provided accurate information to Company in response to Company\u2019s inquiries regarding the Client\u2019s background and current marital status; \u5df2\u5411\u516c\u53f8\u63d0\u4f9b\u4e86\u51c6\u786e\u7684\u4fe1\u606f\uff0c\u4ee5\u56de\u5e94\u516c\u53f8\u5173\u4e8e\u5ba2\u6237\u80cc\u666f\u548c\u5f53\u524d\u5a5a\u59fb\u72b6\u51b5\u7684\u8be2\u95ee;<\/p>

d. Will allow Company to conduct reasonable investigations with respect to any background and status information provided by the Client (optional); \u5c06\u5141\u8bb8\u516c\u53f8\u5bf9\u5ba2\u6237\u63d0\u4f9b\u7684\u4efb\u4f55\u80cc\u666f\u548c\u72b6\u6001\u4fe1\u606f\u8fdb\u884c\u5408\u7406\u8c03\u67e5(\u53ef\u9009);<\/p>

e. Will make himself\/herself reasonably available to meet with the Company as required by Services purchased by the Client;<\/p>

\u5c06\u5408\u7406\u5b89\u6392\u65f6\u95f4\u4e0e\u516c\u53f8\u89c1\u9762\uff0c\u6309\u7167\u5ba2\u6237\u8d2d\u4e70\u7684\u670d\u52a1\u8981\u6c42;<\/p>

f. Will cooperate fully with Company throughout the Term, such that the Client may receive the benefit of Company\u2019s Services; \u5728\u6574\u4e2a\u670d\u52a1\u671f\u95f4\u5c06\u4e0e\u516c\u53f8\u5145\u5206\u5408\u4f5c\uff0c\u4ee5\u4fbf\u5ba2\u6237\u80fd\u4ece\u516c\u53f8\u7684\u670d\u52a1\u4e2d\u53d7\u76ca;<\/p>

g. Is not addicted to drugs, alcohol, prescriptions, or sex; \u4e0d\u6c89\u8ff7\u4e8e\u6bd2\u54c1\u3001\u9152\u7cbe\u3001\u5904\u65b9\u836f\u6216\u6027\u884c\u4e3a;<\/p>

h. Is not engaged in behaviors that are, or could be deemed as, verbally, physically, sexually, or emotionally abusive; \u6ca1\u6709\u4ece\u4e8b\u6216\u53ef\u80fd\u88ab\u89c6\u4e3a\u8a00\u8bed\u3001\u8eab\u4f53\u3001\u6027\u6216\u60c5\u611f\u8650\u5f85\u7684\u884c\u4e3a;<\/p>

i. Is solely responsible for his\/her conduct and for the information he\/she provides to Company; \u5bf9\u5176\u884c\u4e3a\u548c\u5411\u516c\u53f8\u63d0\u4f9b\u7684\u4fe1\u606f\u8d1f\u5168\u8d23;<\/p>

j. Shall conduct himself\/herself at all times during any meetings with Company employees, outside vendors or contractors of Company or any individuals that Company provides Introductions to in a dignified and respectful manner; \u5728\u4e0e\u516c\u53f8\u5458\u5de5\u3001\u5916\u90e8\u4f9b\u5e94\u5546\u6216\u627f\u5305\u5546\u6216\u516c\u53f8\u4ecb\u7ecd\u7684\u4efb\u4f55\u4e2a\u4eba\u7684\u4efb\u4f55\u4f1a\u8bae\u671f\u95f4\uff0c\u5e94\u59cb\u7ec8\u4ee5\u6709\u5c0a\u4e25\u548c\u5c0a \u91cd\u7684\u65b9\u5f0f\u884c\u4e8b;<\/p>

k. Shall treat any individual with whom an Introduction is arranged by Company with the utmost respect, including, without limitation, abiding by all applicable state and Federal laws, and all customary conduct expected of a lady or gentleman; and \u5e94\u4ee5\u6700\u5927\u5c0a\u91cd\u5bf9\u5f85\u516c\u53f8\u5b89\u6392\u4ecb\u7ecd\u7684\u4efb\u4f55\u4e2a\u4eba\uff0c\u5305\u62ec\u4f46\u4e0d\u9650\u4e8e\u9075\u5b88\u6240\u6709\u9002\u7528\u7684\u5dde\u548c\u8054\u90a6\u6cd5\u5f8b\uff0c\u4ee5\u53ca\u6240 \u6709\u671f\u671b\u7684\u7ec5\u58eb\u6216\u5973\u58eb\u7684\u60ef\u4f8b\u884c\u4e3a;\u4ee5\u53ca<\/p>

l. Will not use the Services in a manner inconsistent with any and all applicable state or Federal laws and regulations. \u4e0d\u4f1a\u4ee5\u4efb\u4f55\u4e0e\u6240\u6709\u9002\u7528\u7684\u5dde\u6216\u8054\u90a6\u6cd5\u5f8b\u6cd5\u89c4\u4e0d\u4e00\u81f4\u7684\u65b9\u5f0f\u4f7f\u7528\u670d\u52a1\u3002<\/p>

Section 6. Disclaimers\/\u514d\u8d23\u58f0\u660e<\/p>

6.1 Company makes no representation or warranty, either implied or express, concerning Client\u2019s<\/p>

experience or outcome with the Services.<\/p>

6.1 \u516c\u53f8\u4e0d\u5bf9\u5ba2\u6237\u4f7f\u7528\u670d\u52a1\u7684\u4f53\u9a8c\u6216\u7ed3\u679c\u4f5c\u51fa\u4efb\u4f55\u660e\u793a\u6216\u6697\u793a\u7684\u9648\u8ff0\u6216\u4fdd\u8bc1\u3002<\/p>

6.2 Client acknowledges that Client shall not rely on any investigation by Company or other due diligence by Company into the background of any person to whom Company may wish to introduce to Client (\u201cIntroduction Candidate.\u201d) Company specifically disclaims and does not represent, warrant, or guarantee the accuracy of any statement made by or on behalf of any Introduction Candidate, nor shall the Company be liable for any inaccuracy in any description of an Introduction Candidate made by Company unless Company had actual knowledge of such inaccuracy.<\/p>

6.2 \u5ba2\u6237\u627f\u8ba4\uff0c\u5ba2\u6237\u4e0d\u5e94\u4f9d\u8d56\u516c\u53f8\u5bf9\u4efb\u4f55\u516c\u53f8\u53ef\u80fd\u5e0c\u671b\u4ecb\u7ecd\u7ed9\u5ba2\u6237\u7684\u4eba\u7684\u80cc\u666f\u8fdb\u884c\u7684\u4efb\u4f55\u8c03\u67e5\u6216\u5176\u4ed6\u5c3d\u804c\u8c03 \u67e5(\u201c\u4ecb\u7ecd\u5019\u9009\u4eba\u201d)\u3002\u516c\u53f8\u7279\u522b\u58f0\u660e\u4e0d\u5bf9\u4efb\u4f55\u4ecb\u7ecd\u5019\u9009\u4eba\u6216\u4ee3\u8868\u4ecb\u7ecd\u5019\u9009\u4eba\u6240\u4f5c\u7684\u4efb\u4f55\u9648\u8ff0\u7684\u51c6\u786e\u6027\u4f5c\u51fa \u9648\u8ff0\u3001\u4fdd\u8bc1\u6216\u62c5\u4fdd\uff0c\u9664\u975e\u516c\u53f8\u5b9e\u9645\u77e5\u9053\u8be5\u9648\u8ff0\u7684\u4e0d\u51c6\u786e\u6027\uff0c\u5426\u5219\u516c\u53f8\u4e0d\u5bf9\u4efb\u4f55\u4e0d\u51c6\u786e\u63cf\u8ff0\u627f\u62c5\u8d23\u4efb\u3002<\/p>

6.3 Client releases Company, its employees, officers, members, managers, agents, vendors, representatives, and independent contractors, from any and all claims, actions, causes of action, loss, and liability resulting from any and all Introductions, regardless of the reasons therefore, including claims for personal injury.<\/p>

6.3 \u5ba2\u6237\u89e3\u9664\u516c\u53f8\u3001\u5176\u5458\u5de5\u3001\u7ba1\u7406\u4eba\u5458\u3001\u6210\u5458\u3001\u7ecf\u7406\u3001\u4ee3\u7406\u5546\u3001\u4f9b\u5e94\u5546\u3001\u4ee3\u8868\u548c\u72ec\u7acb\u627f\u5305\u5546\u56e0\u4efb\u4f55\u548c\u6240\u6709\u4ecb \u7ecd\u800c\u5f15\u8d77\u7684\u4efb\u4f55\u548c\u6240\u6709\u7d22\u8d54\u3001\u8bc9\u8bbc\u3001\u8bc9\u56e0\u3001\u635f\u5931\u548c\u8d23\u4efb\uff0c\u65e0\u8bba\u5176\u539f\u56e0\u5982\u4f55\uff0c\u5305\u62ec\u4eba\u8eab\u4f24\u5bb3\u7d22\u8d54\u3002<\/p>

6.4 Client understands that coaching and consulting provided by Company is for education, to help with goal setting, and to act as an accountability program, and that coaching and consulting are not mental health counseling nor treatment for mental health issues.<\/p>

6.4 \u5ba2\u6237\u7406\u89e3\uff0c\u516c\u53f8\u63d0\u4f9b\u7684\u8f85\u5bfc\u548c\u54a8\u8be2\u662f\u7528\u4e8e\u6559\u80b2\u3001\u5e2e\u52a9\u8bbe\u5b9a\u76ee\u6807\u548c\u4f5c\u4e3a\u95ee\u8d23\u8ba1\u5212\uff0c\u8f85\u5bfc\u548c\u54a8\u8be2\u4e0d\u662f\u5fc3\u7406\u5065 \u5eb7\u54a8\u8be2\uff0c\u4e5f\u4e0d\u662f\u5fc3\u7406\u5065\u5eb7\u95ee\u9898\u7684\u6cbb\u7597\u3002 Section 8. Privacy and Confidentiality\/\u9690\u79c1\u4e0e\u4fdd\u5bc6<\/p>

Section 7. Privacy and Confidentiality\/\u9690\u79c1\u548c\u4fdd\u5bc6<\/p>

7.1 Privacy and Confidentiality by Company. Company shall respect the Client\u2019s right to privacy and will not share any private information from the Client to others who are not contracted with the Company unless it is essential to providing the Services. Without limiting the foregoing, Company may disclose confidential information when appropriate. Company shall take reasonable measures to protect the confidentiality of all information obtained in the course of providing the Services. Company will inform the Client, to the extent possible, about the disclosure of confidential information. Client affirmatively agrees that any information shared by Client with an Introduction Client is not controllable by Company, and dissemination from the Introduction Client to friends, family or other contacts of Introduction Client is to be reasonably expected.<\/p>

7.1 \u516c\u53f8\u9690\u79c1\u4e0e\u4fdd\u5bc6\u3002\u516c\u53f8\u5e94\u5c0a\u91cd\u5ba2\u6237\u7684\u9690\u79c1\u6743\uff0c\u4e0d\u4f1a\u5411\u4e0e\u516c\u53f8\u65e0\u5408\u540c\u5173\u7cfb\u7684\u5176\u4ed6\u4eba\u5206\u4eab\u5ba2\u6237\u7684\u4efb\u4f55\u79c1\u4eba\u4fe1 \u606f\uff0c\u9664\u975e\u8fd9\u662f\u63d0\u4f9b\u670d\u52a1\u6240\u5fc5\u9700\u7684\u3002\u5728\u4e0d\u9650\u5236\u4e0a\u8ff0\u5185\u5bb9\u7684\u60c5\u51b5\u4e0b\uff0c\u516c\u53f8\u53ef\u5728\u9002\u5f53\u65f6\u62ab\u9732\u673a\u5bc6\u4fe1\u606f\u3002\u516c\u53f8\u5e94\u91c7 \u53d6\u5408\u7406\u63aa\u65bd\u4fdd\u62a4\u5728\u63d0\u4f9b\u670d\u52a1\u8fc7\u7a0b\u4e2d\u83b7\u53d6\u7684\u6240\u6709\u4fe1\u606f\u7684\u673a\u5bc6\u6027\u3002\u516c\u53f8\u5c06\u5c3d\u53ef\u80fd\u5730\u901a\u77e5\u5ba2\u6237\u6709\u5173\u673a\u5bc6\u4fe1\u606f\u7684\u62ab \u9732\u3002\u5ba2\u6237\u660e\u786e\u540c\u610f\u5ba2\u6237\u4e0e\u4ecb\u7ecd\u5ba2\u6237\u5171\u4eab\u7684\u4efb\u4f55\u4fe1\u606f\u4e0d\u53d7\u516c\u53f8\u63a7\u5236\uff0c\u4ecb\u7ecd\u5ba2\u6237\u5411\u670b\u53cb\u3001\u5bb6\u4eba\u6216\u5176\u4ed6\u8054\u7cfb\u4eba\u7684 \u4f20\u64ad\u662f\u5408\u7406\u9884\u671f\u7684\u3002<\/p>

7.2 Privacy and Confidentiality by Client. Client agrees that all information furnished to him\/her, to which Client has access during the performance of Services, or to which Client has access under this Agreement, shall be kept confidential and shall remain the proprietary information and exclusive property of Company. Client understands that any information Client shares with friends, family, and acquaintances is not controllable by Company, and is reasonably expected to be disseminated.<\/p>

7.2 \u5ba2\u6237\u9690\u79c1\u4e0e\u4fdd\u5bc6\u3002\u5ba2\u6237\u540c\u610f\uff0c\u6240\u6709\u5411\u5176\u63d0\u4f9b\u7684\u4fe1\u606f\uff0c\u5728\u670d\u52a1\u6267\u884c\u8fc7\u7a0b\u4e2d\u5ba2\u6237\u6709\u6743\u8bbf\u95ee\u7684\u4fe1\u606f\uff0c\u6216\u5ba2\u6237\u6839 \u636e\u672c\u534f\u8bae\u6709\u6743\u8bbf\u95ee\u7684\u4fe1\u606f\uff0c\u5747\u5e94\u4fdd\u5bc6\u5e76\u4fdd\u6301\u4e3a\u516c\u53f8\u7684\u4e13\u6709\u4fe1\u606f\u548c\u72ec\u5bb6\u8d22\u4ea7\u3002\u5ba2\u6237\u7406\u89e3\uff0c\u5ba2\u6237\u4e0e\u670b\u53cb\u3001\u5bb6\u4eba \u548c\u719f\u4eba\u5171\u4eab\u7684\u4efb\u4f55\u4fe1\u606f\u4e0d\u53d7\u516c\u53f8\u63a7\u5236\uff0c\u5e76\u4e14\u5408\u7406\u9884\u671f\u4f1a\u88ab\u4f20\u64ad\u3002<\/p>

Section 8. Indemnity\/\u8d54\u507f<\/p>

8.1 Indemnification by Client. Client shall defend, indemnify and hold harmless Company, its affiliates, employees, directors, officers, and agents from and against any and all expenses, costs, damages, losses, liabilities, and judgments, including reasonable attorneys\u2019 fees, arising from actions by Client that directly or indirectly implicate or affect Company, (i.e., if Company is sued because Client dated a married person during the performance of Services, or Client acted in a way that was abusive to another person while participating in Services).<\/p>

8.1 \u5ba2\u6237\u8d54\u507f\u3002\u5ba2\u6237\u5e94\u4e3a\u516c\u53f8\u3001\u5176\u9644\u5c5e\u516c\u53f8\u3001\u5458\u5de5\u3001\u8463\u4e8b\u3001\u7ba1\u7406\u4eba\u5458\u548c\u4ee3\u7406\u5546\u8fa9\u62a4\uff0c\u8d54\u507f\u5e76\u4f7f\u5176\u514d\u53d7\u56e0\u5ba2\u6237 \u7684\u884c\u4e3a\u76f4\u63a5\u6216\u95f4\u63a5\u7275\u8fde\u6216\u5f71\u54cd\u516c\u53f8\u800c\u4ea7\u751f\u7684\u4efb\u4f55\u548c\u6240\u6709\u8d39\u7528\u3001\u6210\u672c\u3001\u635f\u5bb3\u3001\u635f\u5931\u3001\u8d23\u4efb\u548c\u5224\u51b3\uff0c\u5305\u62ec\u5408\u7406 \u7684\u5f8b\u5e08\u8d39(\u5373\u5982\u679c\u516c\u53f8\u56e0\u4e3a\u5ba2\u6237\u5728\u670d\u52a1\u671f\u95f4\u4e0e\u5df2\u5a5a\u4eba\u58eb\u7ea6\u4f1a\u6216\u5ba2\u6237\u5728\u53c2\u4e0e\u670d\u52a1\u65f6\u4ee5\u8650\u5f85\u4ed6\u4eba\u7684\u65b9\u5f0f\u884c\u4e8b\u800c \u88ab\u8d77\u8bc9)\u3002<\/p>

8.2 Client shall hold harmless Company, its affiliates, employees, directors, officers, and agents in the event that Client experiences abuse, a loss of relationships, or any other negative experience while participating in the Services in perpetuity.<\/p>

8.2 \u5982\u679c\u5ba2\u6237\u5728\u53c2\u4e0e\u670d\u52a1\u671f\u95f4\u7ecf\u5386\u8650\u5f85\u3001\u5173\u7cfb\u4e27\u5931\u6216\u4efb\u4f55\u5176\u4ed6\u8d1f\u9762\u7ecf\u5386\uff0c\u5ba2\u6237\u5e94\u4f7f\u516c\u53f8\u3001\u5176\u9644\u5c5e\u516c\u53f8\u3001\u5458\u5de5\u3001 \u8463\u4e8b\u3001\u7ba1\u7406\u4eba\u5458\u548c\u4ee3\u7406\u5546\u6c38\u4e45\u514d\u53d7\u635f\u5bb3\u3002<\/p>

Section 9. Limitation of Liability\/\u8d23\u4efb\u9650\u5236<\/p>

9.1 Limitation of Liability. In no event shall either party be liable for any indirect, incidental, special or consequential damages, incurred by either party or any third party, whether in an action in contract or tort, even if the other party has been advised of the possibility of such damages. Company\u2019s total liability for damages under the Agreement shall in no event exceed the amount of fees paid by the Client under the Agreement for the most recent one (1) year period. The provisions of the Agreement allocate the risk between Company and Client. The parties agree that Company\u2019s pricing and other terms and conditions of the Agreement reflect the allocation of risk and the limitation of liability specified herein.<\/p>

9.1 \u65e0\u8bba\u5728\u4f55\u79cd\u60c5\u51b5\u4e0b\uff0c\u4efb\u4f55\u4e00\u65b9\u5747\u4e0d\u5bf9\u4efb\u4f55\u4e00\u65b9\u6216\u7b2c\u4e09\u65b9\u56e0\u5408\u540c\u6216\u4fb5\u6743\u884c\u4e3a\u800c\u4ea7\u751f\u7684\u4efb\u4f55\u95f4\u63a5\u3001\u9644\u5e26\u3001\u7279 \u6b8a\u6216\u540e\u679c\u6027\u635f\u5bb3\u627f\u62c5\u8d23\u4efb\uff0c\u5373\u4f7f\u53e6\u4e00\u65b9\u5df2\u88ab\u544a\u77e5\u6b64\u7c7b\u635f\u5bb3\u7684\u53ef\u80fd\u6027\u3002\u6839\u636e\u672c\u534f\u8bae\uff0c\u516c\u53f8\u5bf9\u635f\u5bb3\u7684\u603b\u8d23\u4efb\u5728 \u4efb\u4f55\u60c5\u51b5\u4e0b\u5747\u4e0d\u5f97\u8d85\u8fc7\u5ba2\u6237\u5728\u6700\u8fd1\u4e00(1)\u5e74\u671f\u95f4\u6839\u636e\u672c\u534f\u8bae\u652f\u4ed8\u7684\u8d39\u7528\u3002\u672c\u534f\u8bae\u7684\u6761\u6b3e\u5206\u914d\u4e86\u516c\u53f8\u548c\u5ba2\u6237 \u4e4b\u95f4\u7684\u98ce\u9669\u3002\u53cc\u65b9\u540c\u610f\u516c\u53f8\u7684\u5b9a\u4ef7\u548c\u672c\u534f\u8bae\u7684\u5176\u4ed6\u6761\u6b3e\u548c\u6761\u4ef6\u53cd\u6620\u4e86\u6b64\u5904\u89c4\u5b9a\u7684\u98ce\u9669\u5206\u914d\u548c\u8d23\u4efb\u9650\u5236\u3002<\/p>

Section 10. Miscellaneous\/\u6742\u9879<\/p>

10.1 Entire Agreement. This Agreement, together with all Schedules, (a) collectively constitute the entire agreement between the parties, and (b) supersede all prior and contemporaneous agreements, understandings, proposals and communications, oral or written, relating to the subject matter of this Agreement. Any other document or record prepared, issued, or provided by or on behalf of Client relating to the subject matter of this Agreement is for administrative convenience only and will have no effect in supplementing, varying, or superseding any provisions of this Agreement, regardless of any acknowledgement thereof by Company.<\/p>

10.1 \u5b8c\u6574\u534f\u8bae\u3002\u672c\u534f\u8bae\u4e0e\u6240\u6709\u9644\u8868\u4e00\u8d77\uff0c(a)\u5171\u540c\u6784\u6210\u53cc\u65b9\u4e4b\u95f4\u7684\u5b8c\u6574\u534f\u8bae\uff0c\u5e76\u4e14(b)\u53d6\u4ee3\u6240\u6709\u5148\u524d\u548c \u540c\u671f\u7684\u534f\u8bae\u3001\u8c05\u89e3\u3001\u63d0\u6848\u548c\u901a\u8baf\uff0c\u65e0\u8bba\u662f\u53e3\u5934\u8fd8\u662f\u4e66\u9762\uff0c\u4e0e\u672c\u534f\u8bae\u7684\u4e3b\u9898\u6709\u5173\u3002\u5ba2\u6237\u6216\u5176\u4ee3\u8868\u51c6\u5907\u3001\u53d1\u5e03 \u6216\u63d0\u4f9b\u7684\u4efb\u4f55\u5176\u4ed6\u6587\u4ef6\u6216\u8bb0\u5f55\uff0c\u4ec5\u4e3a\u884c\u653f\u65b9\u4fbf\uff0c\u4e0d\u4f1a\u5bf9\u672c\u534f\u8bae\u7684\u4efb\u4f55\u6761\u6b3e\u8fdb\u884c\u8865\u5145\u3001\u53d8\u66f4\u6216\u53d6\u4ee3\uff0c\u65e0\u8bba\u516c \u53f8\u662f\u5426\u5bf9\u6b64\u8868\u793a\u8ba4\u53ef\u3002<\/p>

10.2 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, such provision shall be construed or limited, and\/or deemed replaced by a revised provision, to the extent (and only to the extent) necessary to render it valid, legal, and enforceable and, as nearly as possible, to reflect and achieve the parties\u2019 intentions in agreeing to the original provision. If it is not possible to so construe, limit, or reform any such provision, then the invalid, illegal, or unenforceable provision shall be severed from this Agreement. The remaining provisions of this Agreement shall be unaffected thereby and shall continue in full force and effect.<\/p>

10.2 \u53ef\u5206\u5272\u6027\u3002\u5982\u679c\u672c\u534f\u8bae\u7684\u4efb\u4f55\u6761\u6b3e\u88ab\u8ba4\u4e3a\u65e0\u6548\u3001\u975e\u6cd5\u6216\u4e0d\u53ef\u6267\u884c\uff0c\u5219\u5e94\u5728\u5fc5\u8981\u7684\u8303\u56f4\u5185(\u4ec5\u5728\u5fc5\u8981\u7684 \u8303\u56f4\u5185)\u5bf9\u8be5\u6761\u6b3e\u8fdb\u884c\u89e3\u91ca\u6216\u9650\u5236\uff0c\u548c\/\u6216\u88ab\u89c6\u4e3a\u66ff\u6362\u4e3a\u4fee\u8ba2\u6761\u6b3e\uff0c\u5c3d\u53ef\u80fd\u53cd\u6620\u5e76\u5b9e\u73b0\u53cc\u65b9\u5bf9\u539f\u6761\u6b3e\u7684\u610f\u56fe\u3002 \u5982\u679c\u4e0d\u53ef\u80fd\u5982\u6b64\u89e3\u91ca\u3001\u9650\u5236\u6216\u4fee\u8ba2\u4efb\u4f55\u6b64\u7c7b\u6761\u6b3e\uff0c\u5219\u8be5\u65e0\u6548\u3001\u975e\u6cd5\u6216\u4e0d\u53ef\u6267\u884c\u7684\u6761\u6b3e\u5e94\u4ece\u672c\u534f\u8bae\u4e2d\u5220\u9664\u3002 \u5176\u4f59\u6761\u6b3e\u4e0d\u53d7\u5f71\u54cd\uff0c\u7ee7\u7eed\u5b8c\u5168\u6709\u6548\u3002<\/p>

10.3 Governing Law. This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of California. Both parties hereby consent to venue and jurisdiction in the federal or state courts of California.<\/p>

10.3 \u7ba1\u8f96\u6cd5\u5f8b\u3002\u672c\u534f\u8bae\u5e94\u53d7\u52a0\u5229\u798f\u5c3c\u4e9a\u5dde\u6cd5\u5f8b\u7ba1\u8f96\u5e76\u6309\u7167\u5176\u89e3\u91ca\u548c\u6267\u884c\u3002\u53cc\u65b9\u5728\u6b64\u540c\u610f\u52a0\u5229\u798f\u5c3c\u4e9a\u5dde\u7684\u8054 \u90a6\u6216\u5dde\u6cd5\u9662\u4e3a\u7ba1\u8f96\u6cd5\u9662\u3002<\/p>

10.4 Amendments; Waiver. Except as expressly provided above, this Agreement may not be amended, modified, superseded, or cancelled, nor may any of the terms, covenants, representations, warranties, conditions, or agreements herein be waived, except by a written instrument executed by the party against whom such amendment, modification, supersession, cancellation, or waiver is charged. No waiver by either of the parties of any condition, or of any breach of any term, covenant, representation, warranty, condition, or agreement contained herein, shall be deemed to be or shall be construed to be a waiver or continuing waiver of any such condition or breach or a waiver of any other condition or of the breach of any other term, covenant, representation, warranty, condition, or agreement hereof.<\/p>

10.4 \u4fee\u8ba2;\u653e\u5f03\u3002\u9664\u975e\u4e0a\u6587\u660e\u786e\u89c4\u5b9a\uff0c\u672c\u534f\u8bae\u4e0d\u5f97\u4fee\u8ba2\u3001\u4fee\u6539\u3001\u53d6\u4ee3\u6216\u53d6\u6d88\uff0c\u4ea6\u4e0d\u5f97\u653e\u5f03\u672c\u534f\u8bae\u4e2d\u7684\u4efb\u4f55 \u6761\u6b3e\u3001\u7ea6\u5b9a\u3001\u9648\u8ff0\u3001\u4fdd\u8bc1\u3001\u6761\u4ef6\u6216\u534f\u8bae\uff0c\u9664\u975e\u7ecf\u7531\u88ab\u6307\u63a7\u4fee\u8ba2\u3001\u4fee\u6539\u3001\u53d6\u4ee3\u3001\u53d6\u6d88\u6216\u653e\u5f03\u7684\u4e00\u65b9\u7b7e\u7f72\u7684\u4e66 \u9762\u6587\u4ef6\u3002\u4efb\u4f55\u4e00\u65b9\u5bf9\u672c\u534f\u8bae\u4e2d\u5305\u542b\u7684\u4efb\u4f55\u6761\u4ef6\u6216\u4efb\u4f55\u6761\u6b3e\u3001\u7ea6\u5b9a\u3001\u9648\u8ff0\u3001\u4fdd\u8bc1\u3001\u6761\u4ef6\u6216\u534f\u8bae\u7684\u8fdd\u53cd\u7684\u4efb\u4f55 \u653e\u5f03\uff0c\u5747\u4e0d\u5f97\u88ab\u89c6\u4e3a\u6216\u89e3\u91ca\u4e3a\u5bf9\u4efb\u4f55\u6b64\u7c7b\u6761\u4ef6\u6216\u8fdd\u53cd\u7684\u653e\u5f03\u6216\u7ee7\u7eed\u653e\u5f03\uff0c\u6216\u5bf9\u4efb\u4f55\u5176\u4ed6\u6761\u4ef6\u6216\u4efb\u4f55\u5176\u4ed6\u6761 \u6b3e\u3001\u7ea6\u5b9a\u3001\u9648\u8ff0\u3001\u4fdd\u8bc1\u3001\u6761\u4ef6\u6216\u534f\u8bae\u7684\u8fdd\u53cd\u7684\u653e\u5f03\u3002<\/p>

10.5 No Third-Party Beneficiary. No third party is intended to be or shall be a third-party beneficiary of any provision under this Agreement. Client and Company shall be the only parties entitled to enforce the rights set out in this Agreement.<\/p>

10.5 \u65e0\u7b2c\u4e09\u65b9\u53d7\u76ca\u4eba\u3002\u4efb\u4f55\u7b2c\u4e09\u65b9\u5747\u4e0d\u88ab\u89c6\u4e3a\u6216\u5e94\u4e3a\u672c\u534f\u8bae\u4e0b\u4efb\u4f55\u6761\u6b3e\u7684\u7b2c\u4e09\u65b9\u53d7\u76ca\u4eba\u3002\u5ba2\u6237\u548c\u516c\u53f8\u5e94\u662f \u552f\u4e00\u6709\u6743\u6267\u884c\u672c\u534f\u8bae\u4e2d\u89c4\u5b9a\u7684\u6743\u5229\u7684\u5404\u65b9\u3002<\/p>

10.6 Assignment. Client may not assign or otherwise transfer all or part of this Agreement without first obtaining the express written consent of Company. Company may freely assign or otherwise transfer all or part of this Agreement.<\/p>

10.6 \u8f6c\u8ba9\u3002\u672a\u7ecf\u516c\u53f8\u660e\u786e\u4e66\u9762\u540c\u610f\uff0c\u5ba2\u6237\u4e0d\u5f97\u8f6c\u8ba9\u6216\u4ee5\u5176\u4ed6\u65b9\u5f0f\u8f6c\u8ba9\u672c\u534f\u8bae\u7684\u5168\u90e8\u6216\u90e8\u5206\u3002\u516c\u53f8\u53ef\u81ea\u7531\u8f6c \u8ba9\u6216\u4ee5\u5176\u4ed6\u65b9\u5f0f\u8f6c\u8ba9\u672c\u534f\u8bae\u7684\u5168\u90e8\u6216\u90e8\u5206\u3002<\/p>

10.7 Force Majeure. Except for payment obligations, neither party will be liable to the other for any failure or delay in performing its obligations under this Agreement due to any cause beyond its reasonable control, including, without limitation, fire, flood, earthquake, or other natural catastrophes, acts of war, terrorism or civil disobedience, governmental acts, laws or regulations, embargoes, labor strikes or difficulties, failures of third party suppliers, acts or omissions of carriers, transmitters, providers of telecommunications or Internet services. Each party will use reasonable efforts to give written notice to the other promptly after becoming aware of any condition or event causing any such excusable performance failure or delay.<\/p>

10.7 \u4e0d\u53ef\u6297\u529b\u3002\u9664\u4ed8\u6b3e\u4e49\u52a1\u5916\uff0c\u7531\u4e8e\u8d85\u51fa\u5176\u5408\u7406\u63a7\u5236\u8303\u56f4\u7684\u4efb\u4f55\u539f\u56e0\uff0c\u5305\u62ec\u4f46\u4e0d\u9650\u4e8e\u706b\u707e\u3001\u6d2a\u6c34\u3001\u5730\u9707\u6216 \u5176\u4ed6\u81ea\u7136\u707e\u5bb3\u3001\u6218\u4e89\u884c\u4e3a\u3001\u6050\u6016\u4e3b\u4e49\u6216\u6c11\u4f17\u4e0d\u670d\u4ece\u3001\u653f\u5e9c\u884c\u4e3a\u3001\u6cd5\u5f8b\u6216\u6cd5\u89c4\u3001\u7981\u8fd0\u3001\u52b3\u52a8\u7f62\u5de5\u6216\u56f0\u96be\u3001\u7b2c \u4e09\u65b9\u4f9b\u5e94\u5546\u7684\u5931\u8d25\u3001\u627f\u8fd0\u4eba\u3001\u4f20\u8f93\u8005\u3001\u7535\u4fe1\u6216\u4e92\u8054\u7f51\u670d\u52a1\u63d0\u4f9b\u5546\u7684\u884c\u4e3a\u6216\u758f\u5ffd\uff0c\u4efb\u4f55\u4e00\u65b9\u5747\u4e0d\u5bf9\u53e6\u4e00\u65b9\u5728 \u5c65\u884c\u672c\u534f\u8bae\u7684\u4e49\u52a1\u65f6\u7684\u4efb\u4f55\u5931\u8d25\u6216\u5ef6\u8fdf\u627f\u62c5\u8d23\u4efb\u3002\u6bcf\u4e00\u65b9\u5c06\u5c3d\u5408\u7406\u52aa\u529b\u5728\u77e5\u6653\u5bfc\u81f4\u4efb\u4f55\u6b64\u7c7b\u53ef\u539f\u8c05\u7684\u5c65\u7ea6 \u5931\u8d25\u6216\u5ef6\u8fdf\u7684\u60c5\u51b5\u6216\u4e8b\u4ef6\u540e\uff0c\u8fc5\u901f\u5411\u53e6\u4e00\u65b9\u53d1\u51fa\u4e66\u9762\u901a\u77e5\u3002<\/p>

10.8 Construction. Notwithstanding any rule of construction to the contrary, any ambiguity or uncertainty in this Agreement shall not be construed against either of the parties based upon authorship of any of the provisions hereof.<\/p>

10.8 \u89e3\u91ca\u3002\u4e0d\u8bba\u4efb\u4f55\u76f8\u53cd\u7684\u89e3\u91ca\u89c4\u5219\uff0c\u672c\u534f\u8bae\u4e2d\u7684\u4efb\u4f55\u6b67\u4e49\u6216\u4e0d\u786e\u5b9a\u6027\u5747\u4e0d\u5f97\u6839\u636e\u4efb\u4f55\u6761\u6b3e\u7684\u4f5c\u8005\u8eab\u4efd\u5bf9 \u4efb\u4f55\u4e00\u65b9\u4f5c\u51fa\u4e0d\u5229\u89e3\u91ca\u3002<\/p>

10.9 Counterparts. This Agreement may be executed in several counterparts, all of which taken together shall constitute one single agreement between the parties hereto.<\/p>

10.9 \u526f\u672c\u3002\u672c\u534f\u8bae\u53ef\u7b7e\u7f72\u591a\u4e2a\u526f\u672c\uff0c\u6240\u6709\u526f\u672c\u5171\u540c\u6784\u6210\u53cc\u65b9\u4e4b\u95f4\u7684\u5355\u4e00\u534f\u8bae\u3002<\/p>

10.10 Attorneys\u2019 Fees. In the event of any dispute arising out of or relating to this Agreement, each party shall bear its own attorneys\u2019 fees and costs.<\/p>
